This contest runs for seventeen (17) consecutive Weeks of the 2009 NFL "Regular Season" as defined at www.sirius.com/pigskin (each "Week" as defined at www.sirius.com/pigskin), beginning at the start of a Regular Season Week, September 10, 2009, 8:30 pm Eastern Time ("ET"), and ending at the kickoff time of the final NFL Regular Season game, January 3, 2010, 4:15 pm ET (the "Entry Period"). You can only enter these games by online entry. Limit one entry per person. You must disable rejection of cookies and allow your computer to accept cookies in order to enter. Proof of submission will not be deemed to be proof of receipt. Multiple entries submitted by a single person during the Entry Period using the same e-mail address are void. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the authorized account holder of the e-mail account of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Each contestant must register to play by completing an online entry form. Contestants submit their favorite to win the game in any or all NFL matchups displayed on the My Picks schedule page at www.sirius.com/pigskin, before each game begins. New NFL team matchups are displayed for each Week of the 17-Week NFL season, and the schedule will update each Tuesday. Simply choose the team that you think will win any matchup. The more winning picks you make, the more points you receive. Actual game times, announcement of pairings and the entry deadline for your picks are subject to change. Sponsor is not responsible for any changes which may affect your ability to submit a selection on time. Any selections made after the closing of entry at kickoff will not be allowed.

To pick your team, simply click the radio button next to the team you think will win. When you are done choosing your teams, click the save button at the bottom of the schedule. If you want to change your pick, click the radio button next to the other team(s) (for whichever game you want to edit) and again click save. Your picks are displayed as per the legend below.

Every Week you can choose a maximum of five Best Bets. You must first pick the road or home team in the matchup, before claiming that pick to be a Best Bet. You can only choose five Best Bets each Week, but if you prefer you can choose less. It is not mandatory to select a Best Bet.

Choosing a Best Bet is an opportunity to earn more points on that game. By choosing a specific pick as a Best Bet you are stating that this is one of 5 games you have the most confidence in winning. If you choose a game as a Best Bet and your pick wins, you will gain five extra points for that selection. However, if you choose a game as a Best Bet and your pick loses, you will lose five points for that selection. To make a Best Bet, just click the Best Bet checkbox next to the five games (or anywhere between 0-5 games) you think you have chosen as a winning picks. Click save if you chose your Best Bets after already saving your team picks.

Every game of the NFL schedule is available to be picked each Week. You have until the game time listed next to each matchup to make your pick. If there is a Thursday night game and you miss it, you can still pick the remaining teams on the schedule. New matchups will only become available when all games from the current Week are complete and graded. Once a game begins, it can no longer be picked, or your current pick cannot be edited.

	Correct Pick: 5 points! You picked the team that won.
	Incorrect Pick: 0 points. You picked them, but they lost.
	Best Bets: 5 points! You picked a correct Best Bet.
	Best Bets: -5 points. You lost five points for an incorrect Best Bet.

• Earn 5 points for every winning team you pick
• No loss of points for a pick which your team lost
• Earn 5 points for each correct Best Bet (a game chosen as a Best Bet and also the winning team)
• Lose 5 points for each incorrect Best Bet (a game chosen as a Best Bet but was the losing team)

In the event of a tie, to determine the winner, the following tiebreaker rules will be applied in the following order.

• Individual Contestant who chose closest to the total points scored in the tiebreaker game.
• Group team which chose closest to the number of touchdowns made in the tiebreaker game.
• Group team which chose closest to the number of field goals made in the tiebreaker game.

The above tiebreaker options are listed at the bottom of the My Picks page for every Week of the game schedule. Contestants must complete the tiebreaker fields before the designated tiebreaker game begins. Each Week a tiebreaker game is chosen from the NFL schedule.

Each of the winners will be determined from among all eligible entries received within 48 hours after the end of the Week, for Weekly winners, and after the end of the Entry Period, for the Grand Prize winner:

Grand Prize Winner (One (1)): Winner is the contestant with the highest cumulative score after tie-breaking procedures are conducted at the end of the Regular Season, which follows the end of the 17-Week Entry Period.

Weekly Prize Winners (Seventeen (17)): Winner is the contestant with the highest score for the Week (as defined at www.sirius.com/pigskin), after tie-breaking procedures are conducted at the end of such Week.

The administration of the determination of winners is under the supervision of an independent panel of judges whose decisions are final and binding in all matters relating to these games. Winners will be notified by email and must then -- within 72 hours -- correspond with Sponsor, or its agent, to provide a monitored postal for receipt of their prize. Each prize package will be awarded within 30 days after the end of the Entry Period. If prize notification is undeliverable, or if winner cannot be contacted for any reason during the time Sponsor must reach winner, or potential winner has been unresponsive in the time required, or in the event of non-compliance with these Official Rules, the prize will be forfeited and an alternate winner will be selected according to the next highest score, after tie break procedures, from the remaining eligible entries.

Contestants agree to abide by the terms of these Official Rules and by the decisions of judges which are final. These games are open to legal residents of the U.S.A. or the District of Columbia who are at least 18 years of age at time of entry, except wherever prohibited or restricted by law. These games are intended for play in the United States only and shall only be construed and evaluated according to United States law. Do not enter these games if you are not located in the United States. By participating in these games, contestants (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and its administrator and judging organization, which are final and binding in all matters. Employees of Sponsor, or its subsidiaries, affiliates, advertising and promotion agencies, retailers or distributors, and members of their immediate family (e.g., spouses, parents, children, siblings, grandparents) or household (i.e., people who share the same residence at least 3 months a year (whether related or not), and those with whom such employee is domiciled, and anyone playing as a guest in the SIRIUS|XM "Hosts League," are not eligible to win. Entries that are incomplete or corrupted are void and will not be eligible. Any effort by a contestant to misrepresent himself or herself through the use of aliases or multiple email addresses will disqualify all entries of such individual. Sponsor and its agents reserve the right to verify eligibility qualifications of any winner. Failure to comply with these Official Rules may result in disqualification from your game. These games are subject to all applicable federal, state and local laws and regulations. Void where prohibited by law.

GRAND PRIZE, One (1): Grand Prize winner will receive one (1) SIRIUS Stiletto2 portable satellite radio plus a six (6) month prepaid satellite radio subscription to "SIRIUS Everything." Approximate retail value (ARV): $427. Any difference between the ARV and the actual value, if any, will not be rewarded. Winner has the right to cancel the subscription at any time. If the subscription is canceled, no refund or credit will be given. This prize cannot be substituted for cash and has no cash value. WEEKLY ENTRY PERIOD PRIZES, Seventeen (17): Each consisting of a SIRIUS Prize Pack containing one (1) SIRIUS|XM branded T-shirt in adult unisex size Large, one (1) SIRIUS|XM branded baseball cap (one size fits all), and (1) SIRIUS|XM branded sticker/decal, for a combined Approximate Retail Value (ARV) of $25.

Total ARV of all prizes to be awarded in this Contest is $852. No prize substitution, cash substitution, or assignment or transfer of prizes is permitted, except by Sponsor who may substitute a prize or prize component of equal or greater value if any portion of the advertised prize becomes unavailable. In no event shall more than the number of stated prizes be awarded. All prizes will be awarded. Taxes are the responsibility of the winner.

Your odds of winning depend upon the number of eligible entries received during the Entry Period, your skill, and the skill of other contestants. These games are being advertised on satellite radio channels belonging to each of SIRIUS and XM, on the Internet at www.sirius.com, www.xmradio.com, and in Internet and online third-party promotions, by email to registered subscribers of SIRIUS and XM Satellite Radio newsletters, and possibly in national print advertisements.

By entering these games, any personal information you submit will be disclosed to the Sponsor, or its contract agents, and will be used only by Sponsor consistent with our privacy policy. Sponsor may use your personal information, including postal and e-mail addresses, to contact you regarding SIRIUS® Radio goods and services and XM® Radio goods and services, and any other offers and/or promotions that we believe might interest you. Be sure to read the Sirius Radio Privacy Policy and the XM Radio Privacy Policy.

Sponsor reserves the right to permanently disqualify any person it believes has intentionally violated these Official Rules. If, in the judges' opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of these games, or if technical difficulties or technical corruption (including a computer virus or system malfunction) compromise the integrity of these games, the judges reserve the right to terminate the game(s) and select winners from among all eligible entries and scores prior to termination. Should the game(s) be terminated prior to the stated expiration date, notice will be posted at www.sirius.com/pigskin. Any attempt to deliberately damage the content or operation of these games is unlawful and subject to legal action by the Sponsor and its agents. Judges' decisions are final in all matters relating to the games. You hereby agree, on your own behalf, and on behalf of your heirs, executors, administrators, legal representatives, successors and assigns ("RELEASING PARTIES"), to release, and to defend, indemnify, and hold harmless the Sponsor, those working on its behalf, and all other businesses involved in these games, as well as each of their respective employees, officers, directors, agents and representatives, successors and assigns ("RELEASED PARTIES"), from any and all actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, covenants, contracts, controversies, agreements, promises, trespasses, lost profits, indirect or direct damages, consequential damages, incidental damages, punitive or exemplary damages, including for injury and death, judgments, extent, executions, claims and demands whatsoever, in law, admiralty or equity, whether known or unknown, foreseen or unforeseen, against RELEASED PARTIES which any one or more of the RELEASING PARTIES ever had, now have or hereafter can, shall or may have, whether known or unknown, asserted or non-asserted, which may in any way arise out of or relate to your participation in these games or the awarding, acceptance and use or misuse of a prize, including prize components provided by independent suppliers.

Sponsor shall not be responsible for (i) any typographical or other error in the publishing or printing of the offer, administration of these games or in the announcement of any prize; (ii) lost, late, misdirected, damaged, illegible or incomplete entries, or postage due mail; (iii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; (iv) any injury or damage to contestant's or any other person's computer related to or resulting from participating in these games; or (v) the failure of any third party to comply with the instructions and proper administration of these games. You agree that the RELEASED PARTIES (defined above) shall not be liable for any injury, including death, loss or damage of any kind caused or claimed to be caused, by participation in these games, or from the acceptance or use or redemption of any prize. In the event Sponsor and its agents are prevented from continuing with these games as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, or local government law, order, or regulation, or order of any court or other cause not within their control, Sponsor and its agents shall have the right to modify, suspend, extend or terminate these games.

These games shall be governed by and interpreted under the laws of the State of New York, U.S.A., without regard to its conflicts of laws provisions that may require the application of the laws of another jurisdiction. Any and all disputes, claims, and causes of action arising out of or in connection with these games shall be resolved individually, without resort to any form of class action. Any action or litigation concerning these games shall take place exclusively in the federal or state courts sitting in New York, New York, and you expressly consent to the jurisdiction of and venue in such courts and you waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. You agree to service of process by mail or other method acceptable under the laws of the State of New York. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THESE GAMES. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.

For the name of the winners, available after February 1, 2010, send a stamped, self-addressed envelope (except where prohibited) and a note identifying the name of these games before March 31, 2010 to the Sponsor at the address set forth below, Attention: Interactive Department.
